Basic concepts:

Visitor — a person who has visited at least one page of the website.

User — an individual, a Visitor of the website, who, when placing the Order, accepted the terms of the public offer on the website and confirmed that he is a citizen who has reached 18 years of age.

Buyer — the User who has made and paid for the Order on the website and received the Product. The rights and obligations of the Buyer of products, services in the field of e-commerce are determined by the legislation of Ukraine, in particular the Law of Ukraine 'On Consumer Protection'.

Online store — the Seller's website, located on the Internet at, which presents the Goods offered by the Seller for purchase to Buyers, as well as the conditions and types of delivery, payment and return of these Goods.

Website —

Order — a properly executed request of the Buyer for the purchase and delivery to the address specified by the Buyer of the Goods selected on the Website and paid upon execution or receipt of the Order.

Goods — leather products: backpacks, bags, wallets, notepads, accessories, as well as other leather goods presented for sale on the Website. The goods are presented on the Website through photo samples and text descriptions, which are the property of the Seller.

1. General terms

1.1. This Agreement is concluded between Individual Entrepreneur N. B. Naida, who provides access and services, indicated on (hereinafter — the website), and an individual who has visited at least one page of the Website or a person who has used at least one from the services provided by the Website, without prior registration and authorization on the Website (hereinafter — the Website Visitor).

1.2. The Seller sells the Goods through the Online Store at

1.3. By ordering the Goods through the Online Store, the User agrees to the terms of sale of the Goods set out below. In case of disagreement, the User is obliged to immediately stop using the service and leave the Website.

1.4. Terms of sale of Goods, as well as information about the Goods presented on the Website, is a public offer in accordance with Art. 633 of the Civil Code of Ukraine and equals to the written form of the contract in accordance with the Law of Ukraine on Electronic Commerce.

1.5. The electronic contract is concluded and executed in the manner prescribed by the Civil and Commercial Codes of Ukraine, as well as other legislation.

1.6. An electronic contract is concluded by offering to conclude it by one party and its acceptance by the other party.

1.7. To accept an offer to enter into such an agreement, the Buyer must identify himself in the system and provide a response to the acceptance of the offer in the manner specified in paragraph 6 of Article 11 on the Procedure for concluding an electronic contract in accordance with the Law of Ukraine

The electronic agreement with the User comes into force from the moment of receipt by the Seller who sent the offer to conclude such agreement, the answer on acceptance of this offer in the order defined by paragraph 6 of article 11 about the Procedure of concluding the electronic contract or from the moment of registration by the Buyer of the Order without authorization on the Website.

1.9. These conditions may be changed by the Seller unilaterally without notice to the User/Buyer. The new version of the Terms shall enter into force upon its publication on the Website, unless other conditions are provided. Additionally, the Seller may notify the Buyer of such changes in a manner determined by the Seller. The current offer is on the website in the 'Public offer' section.

2. Subject of the agreement

2.1. The subject of the Agreement is to provide the User with the opportunity to buy for personal, family, home and other needs not related to business activities, the Goods presented in the catalog of the Online Store at and to provide the Buyer with design services, sale and delivery of the Goods, in the manner and under the conditions provided by this Offer.

2.2. The agreement applies to all types of goods and services presented on the Website, as long as such offers with a description are present in the catalog of the online store.

3. Goods and the procedure of purchase

3.1. The Seller ensures the availability of the Goods presented on the Website in its warehouse. The photos of the goods are simple illustrations to it and may not differ from the actual appearance of the goods. Product descriptions/characteristics do not claim to be exhaustive and may contain mechanical typographical errors. To clarify the information on the Goods, the Buyer may send an e-mail to:

In case of absence of the required quantity of the Goods ordered by the Buyer in the Seller's warehouse, the latter has the right to exclude the specified Goods from the Order or cancel the Buyer's Order by notifying the Buyer by sending an e-mail to the address specified by the Buyer or making a call. Or by agreement with the Buyer, the Seller within 14 working days can make a product that is not on the website.

3.3. The Buyer is fully responsible for providing false information, which might lead to the impossibility of proper performance by the Seller of its obligations to the Buyer.

3.4. After placing an Order on the Website, the Seller's contact person calls to confirm the Order. After sending the Order, the Buyer is provided with information about the invoice number and approximate delivery date by being sent an email to the address specified by the Buyer when placing the order. The Manager servicing this Order can clarify the details of the Order, agree/specify the delivery date, which depends on the availability of the ordered Goods in the Seller's warehouse and the time required for processing and delivery of the Order.

3.5. If the Seller or the Seller's contact person have not been able to contact the Buyer within four working days, this Order will be considered canceled automatically.

3.6. The expected date of delivery of the Order to the delivery service may be notified to the Buyer by the manager servicing the Order during a telephone call to the Buyer. The date of transfer of the Goods may be changed by the Seller unilaterally in the presence of objective, in the opinion of the Seller, reasons.

Communication of the User/Buyer with managers and other representatives of the Seller should be based on the principles of common morality and communication etiquette. It is strictly forbidden to use obscene words, swear words, abusive expressions, as well as threats and blackmail, regardless of the form and to whom they were addressed.

4. Delivery of the order

4.1. Delivery of the Goods is carried out by the Nova Poshta express delivery service, or others specified on the website. Transfer of the Goods to the Buyer is carried out in various ways at the choice of the Buyer when filling in the order application. Methods, as well as approximate delivery date of the Goods are specified on the Website in the 'Delivery, payment, return' section.

4.2. The territory of delivery of the Goods presented on the Website is limited by the borders of Ukraine and the availability of the Nova Poshta delivery service.

4.3. Delivery delays are possible due to unforeseen circumstances that occurred through no fault of the Seller.

Orders from Buyers are sent on business days until 4 PM. Delivery by Nova Poshta across Ukraine is carried out from 10:00 AM to 06:00 PM on business days the day after the order is placed. Orders received on Friday will be shipped on Monday. You can track the movement of the shipment by sending number (provided after sending automatically) on the official website of Nova Poshta: Delivery time consists 2-5 business days provided the goods are in stock. Delivery is free when ordering from UAH 3,000+.

4.5. Upon delivery, the Order is handed over to the Buyer or a third party specified in the Order as the recipient (hereinafter the Buyer and the third party are referred to as the 'Recipient').

4.6. Upon acceptance of the Order, the Recipient is obliged to inspect the delivered Goods and check it for compliance with the declared type and completeness of the Goods, as well as to check the packaging. In the absence of claims to the delivered Goods, the Recipient signs the delivery service document and pays for the Order. The signature in the documents indicates that no claims have been made against the Goods by the Recipient, the Seller has fully and properly fulfilled their obligation to transfer the Goods to the Recipient.

The risk of accidental breakage or accidental damage to the Goods passes to the Buyer from the moment of transfer of the Order to them and Recipient's signing the Order in the delivery service documents confirming delivery of the Order to the final recipient.

4.8. You can specify the date, time and, if necessary, the delivery route from the manager, who contacts the Buyer to confirm the Order.

4.9. In case of returning the Order to the Seller due to the impossibility to receive the Order by the Buyer in the delivery office of Nova Poshta, the delivery cost will not be refunded from the received prepayment from the Buyer, provided that the Buyer has paid for the Order in advance. If the Buyer has not paid for the Order in advance, all costs for the return of the Goods shall be reimbursed by the Seller.

4.10. The User understands and agrees that the delivery is a separate service that is not an integral part of the Goods purchased by the Buyer, the execution of which ends at the time of receipt of the Goods by the Recipient. Claims to the quality of the purchased Goods, which arose after receipt and payment for the Goods, are considered in accordance with the Law of Ukraine 'On Consumer Protection'.

4.11. Self-pickup of goods from the open SHUFLIA workshop is possible, by prior arrangement with the manager on business days. Address: Promprylad Renovation

5. Payment for goods

5.1. The cost of the Goods on the Website is indicated in hryvnias. The amount of the order consists of the cost of the ordered Goods.

5.2. In case of incorrect indication of the price of the Goods ordered by the Buyer on the Website, the Seller informs the Buyer about it upon confirmation of the Order or cancels the Order.

5.3. The price of the Goods on the Website may be changed by the Seller unilaterally. Nevertheless, the price for the Goods ordered by the Buyer is not subject to change.

5.4. Payment for the Goods is made by the Buyer in any of the ways offered by the Seller when placing the Order, detailed information about which is on the Website in the 'Delivery and Payment' section.

5.5. When paying for Orders on the Website with the help of payment cards, all transactions with them are carried out on the secure payment page of Monobank, where you need to enter the data of the Buyer's payment card and the amount of the order.

5.6. The Seller has the right to provide discounts on the Goods and set bonus programs at their discretion. Types of discounts, bonuses, the order and conditions of their accrual are specified on the Website and may be changed by the Seller unilaterally.

6. Return of goods and refund

6.1. Return of Goods is carried out in accordance with the conditions specified on the Website in the 'Return of the Goods' section.

6.2. The Buyer has the right to exchange/return the Goods, if it did not satisfy the Buyer in shape, color, size or for other reasons why the Goods can not be used by the Buyer for its intended purpose and has not been used by the Buyer before. The Buyer has the right to exchange the Goods within fourteen calendar days, not including the day of purchase, in accordance with Article 9 of the Law of Ukraine 'On Consumer Protection'.

6.3. Returned goods by the Buyer must have a commercial appearance and additional components that are the part of the set, and must be sent by the Buyer to the Seller by the 'Nova Poshta' express delivery service to the office №5, located at 3, Viacheslav Chornovil Street, Ivano-Frankivsk, Ukraine, 76000.

6.4. Return or exchange of the Goods is carried out if:

6.4.1. The received Goods do not correspond to the Goods ordered and paid by the Buyer.

6.4.2. Return of the Goods of proper quality is possible if the Goods have not been used by the Buyer before, if its appearance, consumer properties, labels are preserved, as well as if the receipt and a warranty card issued to the Buyer together with the sold Goods is preserved.

6.4.3. If the Buyer refuses from the Goods in accordance with clause 4.4.1., the Seller shall reimburse the Buyer for the value of the returned Goods in full within 30 days from the date of receipt of the Goods at the Seller's warehouse.

6.4.4. Reimbursement of the value of the Goods is made exclusively to the person who paid for the Order. For transfering money, the Buyer may need to provide a copy of the passport, identification code and receipt of payment for the Goods for which the money is returned. In the event that the Buyer cannot be identified and the Buyer has not provided for the refund all the documents listed above, the Seller reserves the right to refuse the Buyer a refund.

6.4.5. If at the time of the Buyer's request to replace the purchased Goods with a similar or different, the Goods are not available for sale or in the Seller's warehouse, and the Seller refuses to manufacture it within 14 working days, without good reason, the Buyer has the right to refuse to perform this Agreement and demand from the Seller a refund of the amount paid for the specified Goods.

6.4.6. The Seller is obliged to return the amount paid for the returned Goods within 30 days from the date of return of the Goods by the Buyer.

6.5. The appearance and packaging of the Goods, as well as the completeness of the entire Order must be checked by the Recipient at the time of delivery of the Goods.

After receiving the Order, claims to external defects of the Goods, its quantity, packaging and appearance will not be accepted by the Seller.

6.7. Reimbursement of paid sum to the Buyer is made by the Seller by returning the value of the paid Goods, by bank transfer, agreed by the Buyer and the Seller, which does not contradict the current legislation of Ukraine.

7. Responsibility

7.1. The buyer is responsible for the accuracy of the information specified in the order. Providing inaccurate information or not providing such information at the request of the online store may serve as a reason to suspend the provision of services or sale of goods. In this case, the online store is not responsible for any damage caused to the Buyer in case of suspension/non-performance of services or failure to sell the Goods in case of non-compliance with this clause of the Agreement.

7.2. The Seller is not responsible for delays in the delivery of the Order, due to unforeseen circumstances that could occur through no fault of the Seller.

7.3. The Seller is not responsible for any damage to the Goods that may occur during delivery.

7.4. The Seller is not liable for any losses and non-pecuniary damage received by the Buyer as a result of misunderstanding of the information on making/payment of the Order, as well as the order of receiving and use of the Goods.

7.5. The Seller is not responsible for the non-compliance of the Goods with the expectations of the Buyer and/or his subjective assessment. The advice and recommendations provided to the Buyer by the Seller cannot be considered as guarantees.

7.6. In case of non-fulfillment or improper fulfillment of their obligations under the Offer, the Parties shall be liable in accordance with the current legislation of Ukraine and the terms of this Offer.

7.7. The Parties shall be released from liability for full or partial non-performance of their obligations under the Offer, if such non-performance was the result of force majeure, i.e. extraordinary and unavoidable circumstances under those conditions. Circumstances of force majeure include, in particular: natural disasters, military action, strikes, actions and decisions of public authorities, and other actions that may occur in telecommunications and energy networks.

A Party which invokes force majeure shall, within five calendar days, notify the other Party in writing or by email of the occurrence of such circumstances.

7.9. In the event of any misunderstanding, the Parties shall make every effort to resolve these misunderstandings solely through negotiations.

8. Confidentiality and protection of information

8.1. Personal data of the User/Buyer are processed in accordance with the Law of Ukraine of June 1, 2010 № 2297-VI 'On Personal Data Protection'. Personal data is collected solely for the purpose of complying with the requirements applicable to the regulation of tax relations, relations in the field of accounting and relations in the field of advertising.

8.2. The parties are obliged to ensure the protection of personal data that became known to them from electronic documents (messages) during the commission of electronic transactions, in the manner prescribed by the Law of Ukraine 'On Personal Data Protection.'

8.3. When placing an Order on the website, the User provides the Seller with the following personal information: surname, name, e-mail address and contact phone number.

8.4. When placing an Order, the User is obliged to indicate true personal data.

8.5. By providing their personal data on the Website, the User agrees to their processing by the Seller, including for the purpose of promotion of the Seller's own Goods and services.

8.6. The Buyer gives the Seller the right to process his personal data, including: to place personal data in the Seller's database (without additional notice to the Buyer), to carry out lifelong data storage, accumulation, update, change (as needed). The Buyer undertakes not to share or transfer the data to any third party (except for the transfer of data to related parties, commercial partners, persons authorized by the Seller to carry out direct data processing for these purposes, as well as upon mandatory request of competent state body).

8.7. The Seller may use the personal data of the User/Buyer:

8.7.1. To fulfill their obligations to the User/Buyer under the Agreement.

8.7.2. To confirm the order by the manager or other contact person of the Seller.

8.7.3. To send the Order to the Buyer by the Nova Poshta express delivery service.

8.7.4. To evaluate and analyze the work of the Website.

8.7.5. To determine the winner in the special prize-winning special offers held by the Seller on the Website.

8.8. The Seller has the right to send information, including advertising messages, to the email and mobile phone of the User/Buyer.

8.9. The Seller has the right to use Cookies technology: information in the form of text or binary data obtained from the website on a web server, which is stored by the client, i.e. the browser, and then sent to the same site if the User revisited the Website. Cookies do not contain confidential information and are not passed on to third parties.

8.10. The Seller receives information about the IP address of the Website visitor of This information will not be used to identify the Visitor.

8.11. The Seller is not responsible for the information provided by the User/Buyer on the Website in a publicly available form.

The Seller has the right to record telephone conversations with the User/Buyer. In this case, the Seller undertakes: to prevent attempts at unauthorized access to information obtained during telephone conversations, and/or transfer it to third parties not directly related to the execution of Orders, in accordance with the Law of Ukraine of 02.10.1992 № 2657-XII 'On information protection.'

9. Additional conditions

9.1. The Seller has the right to transfer their authority, rights and obligations arising from its relationship with the Buyer to third parties.

9.2. All textual information and graphics posted on the website of the online store are the property of the Seller and/or its suppliers and manufacturers of the Goods.

9.3. The online store and services provided by the Seller to the User/Buyer on the Website may be temporarily partially/completely unavailable due to preventive or other technical work on the Website. The Technical Service of the Seller has the right to periodically carry out the necessary preventive or other work with prior notice to Buyers or, if necessary, without notice.

9.4. In case of questions and complaints from the User/Buyer, they must contact the Seller by phone or other available way. All disputes will be resolved by the parties through negotiations, in case of failure to reach an agreement, the dispute will be referred to a judicial body in accordance with current legislation of Ukraine.

9.5. The recognition by a court of the invalidity of any provision of this Agreement shall not entail the invalidity of other provisions.

10. Term of the Agreement and the procedure for its termination

10.1. This Agreement enters into force upon acceptance by the Buyer (execution of the order on the website) and is valid until the complete fulfillment of obligations by the Parties, except in cases of early termination.

Prematurely, the expiration of this Agreement may be terminated by mutual consent of the Parties, which must be formalized in writing.

10.3. The Parties have the right to terminate this Agreement unilaterally, in case of non-fulfillment by one of the Parties of the terms of this Agreement and in cases provided by this Agreement and the current legislation of Ukraine.
